DATES OF SWEEPSTAKES: The "Lexus Trading Bases" Sweepstakes (the "Sweepstakes") begins at 12:00PM Central Time ("CT") on July 4, 2025 and ends at 11:59PM CT on August 13, 2025 (the "Sweepstakes Period"), subject to the hours of operation at each stadium, Globe Life Field and Daikin Park (each a "Stadium").
The Sweepstakes is open only to legal residents in the state of Texas who are twenty-one (21) years of age or older (the "Entrant"). Potential Grand Prize Winners will be notified by telephone or email. Officers, directors, managers and employees of Toyota Motor Sales U.S.A., Inc., the Southern Area Lexus Dealer Advertising Association, Inc. (the "Sponsor"), Saatchi & Saatchi North America, LLC, the Houston Astros, LLC, a Texas limited liability Company, having a place of business located at Union Station at Daikin Park, 501 Crawford St, Houston, TX 77002 (the "Astros"), Rangers Baseball LLC, a Delaware limited liability company (the "Rangers"), Globe Life Field, Daikin Park and the MLB Entities (defined below) and each of their respective parent companies, subsidiaries, affiliates, wholesalers, retailers, distributors, suppliers, advertising, promotion agencies and any others engaged in the development, production, execution or distribution of this Sweepstakes, including National Sweepstakes Company, LLC (the "Independent Administrator") (all collectively referred to herein, "Released Parties"), and each such individuals immediate family members (mother, father, sister, brother, child, husband, wife and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related, are not eligible to participate or win.
"MLB Entities" means the Office of the Commissioner of Baseball ("BOC"), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P. ("MLB"), Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs ("Clubs"), each of their parent, subsidiary, affiliated, and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees, and agents of the foregoing entities.
For the avoidance of doubt, this Sweepstakes is in no way sponsored, endorsed or administered by, the MLB Entities, each of their respective parents, subsidiaries, affiliates, owners, members, directors, managers, officers, and employees or any other person or entity to which the Sweepstakes or its prizes are related. By submitting an entry, each Entrant acknowledges that the MLB Entities are in no way responsible or liable for any claims arising from or in connection with this Sweepstakes.
Sweepstakes is subject to all federal, state and local laws and regulations. Persons who have previously won a Sweepstakes, sweepstakes or promotion of any kind Sponsored or otherwise associated with Sponsor within thirty (30) calendar days immediately preceding the start of this Sweepstakes are ineligible to participate or win a prize. All applicable federal, state and local laws apply. Sweepstakes is void outside the state of Texas and wherever else restricted or prohibited by law.
Entrant may enter the Sweepstakes at a Stadium (as set forth in section 1 below) or at one of the Lexus Dealerships (see section 2 below) for each Astros or Rangers, each a "team". Entry will be entered into the respective drawing. No other method of entry will be accepted. Limit one (1) entry per person/email address, regardless of method of entry. Additional entries beyond the specified limit will be void.
Neither Sponsor nor any other Released Parties are responsible for any entry that is lost, late, misdirected or undeliverable, whether due to system errors, omissions, interruption, deletions, defects, delay in operations or transmissions or any other reason, theft or destruction or failures, faulty transmissions or other telecommunications malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise.
Limit of one (1) Entry per Entrant per team for the Sweepstakes. Any attempt by an Entrant to obtain more than the stated number of Entries by using multiple/different identities, addresses, telephone numbers and/or any other methods, will void that Entrant's participation and that Entrant may be disqualified from the Sweepstakes. All Entries submitted become the sole property of Sponsor and will not be returned.
In the event of a dispute regarding the identity of the person submitting an entry, the entry will be deemed submitted by the person in whose name and email address were submitted via the entry form (the "Authorized Account Holder") and such individual must comply with these Official Rules. The potential Grand Prize Winner may be required to show proof of being the Authorized Account Holder. If the Sponsor cannot determine the identity of the person based upon the information submitted via the entry form, the respective Entrant will be disqualified. No mechanically or programmatically reproduced entries are permitted. Sponsor will not verify receipt of entries for Entrants. All entries submitted become the sole property of Sponsor and will not be returned.
By entering, each Entrant; (a) represents that he/she is at least twenty-one (21) years of age and otherwise eligible to participate in the Sweepstakes; and (b) fully and unconditionally agrees to and accept these Official Rules and the decisions of Sponsor, which are final and legally binding in all respects. Any person who tampers with the entry process in any way will be disqualified at Sponsor's sole discretion.
Without limitation, Sponsor reserves the right in its sole discretion to disqualify any Entrant whose social media account that, in their sole opinion, refers, depicts or in any way reflects negatively upon the Sponsor, the Sweepstakes or any other person or entity; does not comply with these Official Rules; or if Sponsor receives notification about any potential infringements or breaches of law or any other reason set forth herein.
On or about August 18, 2025, two (2) potential grand prize winner will be selected one (1) for the Astros and one (1) for the Rangers from among all eligible entries received for that respective team. Subject to verification of eligibility and compliance with these Official Rules, each potential grand prize winner will be declared the official grand prize winner (the "Grand Prize Winner") of the Sweepstakes. Odds of winning depend on the total number of eligible entries received during the Sweepstakes Period for each team. The random drawing will be conducted by the Independent Administrator, whose decisions are based upon their sole discretion and interpretation of these Official Rules and are final and binding in all respects.
Subject to verification of eligibility and compliance with these Official Rules, Grand Prize Winners will be notified by the Independent Administrator by telephone or email ("Notification"). Independent Administrator will make two (2) attempts to reach a potential grand prize winner. Potential grand prize winner must respond within the date and time listed in the Notification to claim the Grand Prize. In the event the potential Grand Prize Winner cannot be reached after two (2) Notification attempts are made, or if it is determined by the Independent Administrator or Sponsor, in their sole discretion, that a potential grand prize winner is not eligible in accordance with these Official Rules, the potential grand prize winner will be disqualified and an alternate potential grand prize winner will be selected from the remaining non-winning eligible entries received during the Sweepstakes Period for the respective team, time permitting. Please Note: Telephone Notifications will not be left on answering machines/voicemails.
In the event that the potential grand prize winner is disqualified for any reason, Sponsor/Independent Administrator shall have no liability or obligation to such individual.
Grand Prize Winners consent (and agrees to sign any additional documents required by Sponsor, Toyota Motor Sales U.S.A., Inc., or Team One, a division of Saatchi & Saatchi North America, LLC ("Team One") to formalize, effect or perfect such consent, except where prohibited by law) for Sponsor, Toyota Motor Sales U.S.A., Inc., or Team One, and those acting under their authority, to use his/her name, likeness (photograph and/or video), biographical information, and voice in advertising/publicity/trade without territorial or time limitations and without compensation, notice or approval; and, Grand Prize Winner disclaims any ownership rights of such advertising/publicity/trade material. Sponsor is not responsible for any change of email address, mailing address and/or telephone number of Entrants.

Grand Prize Winner must attend the game on the date to be determined by the Sponsor. If the Grand Prize Winner unable to attend on the specified date then the Grand Prize will be forfeited and an alternate potential grand prize winner will be selected from the remaining non-winning eligible entries for the respective team, time permitting. All transportation and any other expenses and incidental travel costs not expressly stated in the Grand Prize description above, including but not limited to, transportation between the Grand Prize Winner's home, dealership or either Stadium, meals, beverages, merchandise/souvenirs, local and long distance telephone calls, additional ground transportation, tips/gratuities, surcharges, service charges or facility charges, taxes or other expenses or incidental are the responsibility solely of Grand Prize Winner. Any taxes imposed on the income of the Grand Prize Winner as a result of winning the Grand Prize and all other expenses not specifically mentioned herein as part of the Grand Prize are solely the responsibility of the Grand Prize Winner. No more than the number of prizes set forth above will be awarded.
Use of any Astros or Rangers game ticket is subject to the standard terms, conditions, and health and safety policies applicable to the ticket set forth in the 2025-2026 Stadium Terms; see rangers.com/ticketback and astros.com/ticketback for details (as applicable). Seat location shall be determined in the sole discretion of Sponsor and the teams. Grand Prize Winner's guests must be of legal age of majority in their jurisdiction of residence unless accompanied by a parent or legal guardian. The terms and conditions of the tickets awarded as part of the prize will govern in the event a legal game, as defined by MLB, is not played or held due to weather conditions, an act of God, an act of terrorism, civil disturbance, or any other reason. Sponsor, the respective Stadiums, and the MLB Entities reserve the right to remove or to deny entry to Grand Prize Winner and/or their guest(s) who engage in a non-sportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person at the game. The Released Parties will not be responsible for weather conditions; acts of God; acts of terrorism; civil disturbances; local, state, or federal regulation, order, or policy; work stoppage; epidemic, pandemic, or any other issue concerning public health or safety; or any other event outside of their control that may cause the cancellation or postponement of any MLB game. In the event that a Astros or Rangers home game does not take place as scheduled, for reasons such as cancellation, preemption or postponement, or for any reason beyond the control of the Sponsor, no additional substitution or compensation will be provided. MLB game tickets awarded as prizes may not be resold, offered for resale, or used for any commercial or promotional purpose whatsoever. Any such resale or commercial or promotional use may result in disqualification and prize forfeiture and may invalidate the license granted by the game ticket. Event and game may be subject to change due to impracticability or unavailability, or for any other reason as determined necessary by Sponsor or its designee and are subject to any and all applicable health and safety protocols (which may be dictated by provider/location policies and/or state and/or local government requirements - all of which are subject to change at any time, including as the result of the COVID-19 pandemic). Grand Prize Winner and guest(s) must adhere to the requirements of the Stadium for any vaccinations/testing in order to attend the game. If the Grand Prize Winner is unable to attend on the game on the tickets provided by the Sponsor, the Grand Prize Winner forfeits their right to the Grand Prize, will no longer be deemed the Grand Prize Winner, even if the disqualified Grand Prize Winner's name may have been publicly announced. ARV is as of date of printing of these Official Rules. The difference in value of the Grand Prize as stated herein and value at time of notification/award, if any, will not be awarded.
Each Grand Prize Winner and their guests agrees to comply with all applicable Stadium regulations in connection with the prizes; see rangers.com/ballpark and astros.com/ballpark for details (as applicable). Sponsor and the applicable Release Parties reserve the right to remove or to deny entry to any person who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the Stadium. Sponsor and Released Parties will not be responsible for weather conditions, pandemic, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster outside their control that may cause the cancellation or postponement of the baseball game on the designated dates indicated in the prize description.
All federal, state and local laws and regulations apply. By entering the Sweepstakes, Entrants accept the conditions stated in these Official Rules, agree to be bound by the decision of the Sponsor or the Released Parties. Sponsor reserves the right to correct typographical, clerical or printing errors in any Sweepstakes related materials. Should any portion of the Sweepstakes be, in Sponsor's sole discretion, compromised by non-authorized human intervention or other causes which, in the sole discretion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes and conduct the Sweepstakes in a manner which in its sole discretion is fair, appropriate and consistent with these Official Rules. Notice of such action by Sponsor will be posted at www.lexustradingbases.com or at the Dealership. In such event, Sponsor reserves the right to award the Grand Prize by conducting a drawing for each respective team for those eligible entries up to the time of the impairment. Sponsor and the applicable Released Parties reserve the right in their sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Sponsor and the applicable Released Parties reserve the right to disqualify or reject any incomplete, inaccurate or false entry.
ANY ATTEMPT BY A PERSON TO ACT IN A MANNER DEEMED BY SPONSOR/ADMINISTRATOR/REPRESENTATIVE OR RELEASED PARTIES TO BE INAPROPRIATE, UNSPORTSMANLIKE, ANTI-SOCIAL OR BELLIGERENT (INCLUDING BUT NOT LIMITED TO HARASSING OR BADGERING THE REPRESENTATIVE, ENTRANTS OR ANY OTHER PERSON; INTENTIALLY OR BLATANTLY VIOLATING THESE OFFICIAL RULES OR THE INSTRUCTIONS OF REPRESENTATIVE) OR TO DELIBERATELY UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR AND THE RELEASED PARTIES RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. SPONSOR'S AND/OR THE RELEASED PARTIES' FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS.
Sponsor, the Released Parties, and MLB reserve the right, in their sole discretion, to modify, suspend, extend, or cancel the Sweepstakes (or any portion thereof) in the event Sponsor is prevented from executing the Sweepstakes as contemplated herein by any event beyond any Released Party's control, including but not limited to: fire; flood; earthquake; explosion; public health epidemic or crisis; labor dispute or strike; work stoppage; act of God or public enemy; network or equipment failure; riot or civil disturbance; terrorist threat or activity; war (declared or undeclared); court order; or federal, state, or local government law, order, or regulation. Sponsor, the Released Parties, and MLB also reserve the right, in their sole discretion, to modify, suspend, extend, or cancel the Sweepstakes (or any portion thereof) should virus, bugs, unauthorized human intervention, or other causes or events corrupt administration, security, fairness, integrity, or proper operation of the Sweepstakes. In the event of cancellation, Sponsor may elect to identify the Grand Prize Winner and award the Grand Prize by way of random drawing from among all non-suspect, eligible entries received up to the time of cancellation. Sponsor also reserves the right, in its sole discretion, to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Sweepstakes.
If it is determined by the Sponsor, in its sole discretion, that the Grand Prize Winner is not eligible or otherwise not in compliance with these Official Rules, the Grand Prize Winner forfeits their right to the Grand Prize.
THE SWEEPSTAKES AND ALL PRIZES AND MATERIALS PROVIDED ON OR THROUGH THE SWEEPSTAKES AND THE WEBSITE ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW LITIGATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
By participating in this Sweepstakes, Entrants agree to release and hold harmless Sponsor and any and all Released Parties (including, without limitation, the MLB Entities) from and against any and all claims, losses or cause of action or for any injury, damage or loss that may occur, directly or indirectly, in whole or in part, arising out of participation in the Sweepstakes or receipt, redemption or use or misuse of any prize (or any portion thereof) or any travel or activity related to the receipt or use of any prize, without limitation, any injury, damage, death, loss or accident to a person or property, or from the respective Entrants' breach of any agreement or warranty associate with the Sweepstakes, including these Official Rules. By entering the Sweepstakes, each Entrant gives their express permission to be contacted by Sponsor, the Released Parties, and/or MLB by telephone, email, and/or postal mail for Sweepstakes purposes. Each Grand Prize Winner, by acceptance of the Grand Prize, grants to Sponsor, the Released Parties, MLB, and each of their respective designees the right to publicize their name, city and state of residence, prize information, photograph, voice, statements, and/or other likeness for advertising, promotional, trade, and any other purpose, in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification, unless prohibited by law.
The Sponsor and Released Parties do not have any responsibility or liability whatsoever for: (a); unauthorized human intervention in any part of the entry process or the Sweepstakes; (b) electronic or human error which may occur in the administration of the Sweepstakes or the processing of entries; (c) incorrect or inaccurate entry information, or an entry that is lost, late, misdirected or undeliverable, whether due to system errors, omissions, interruptions, deletions, defects, delays in operation or transmissions or any other reason, theft or destruction or failures; (d) faulty transmissions or other telecommunication malfunctions; (e) entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions; (f) any property loss, damage, personal injury, or death, in connection with the prizes provided pursuant to this Sweepstakes and/or any person's participating in the Sweepstakes; (g) any claim arising in connection with participation in this Sweepstakes or any prize awarded; (h) typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, the announcement of the prize, or in any Sweepstakes-related materials or these Official Rules.
By entering the Sweepstakes, Entrant agrees that any and all disputes which cannot be resolved between the Entrant and the Sponsor or Released Parties, and causes of action arising out of or connected with the Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively, before a court located in the State of New York having competent jurisdiction, which Court shall apply the laws of the State of New York, without regards to any conflict of law principles. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than Entrants actual out-of-pocket expenses, and Entrant further waives any right to have damages multiplied or otherwise increased. If any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.
Sponsor will be collecting and sharing personal data provided by Entrant to be used for marketing purposes in accordance with Sponsor's privacy policy which can be found at http://www.lexus.com/privacy.
For the name of the Grand Prize Winners or a copy of these Official Rules, please submit a self-addressed, stamped envelope by September 13, 2025, to "Lexus Trading Bases" Winner's List, PO Box 458, Newark, NY 14513. A copy of the Official Rules may also be obtained at www.lexustradingbases.com during the Sweepstakes Period.
